By creating an account, subscribing to a plan, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

CapitSignal is a subscription-based corporate-intelligence and research-information platform for investors in listed equities. The Service processes public corporate disclosures — such as regulatory filings, financial results, and earnings-call transcripts — and produces evidence-linked analysis, management-commitment tracking, identification of contradictions, alerts, and portfolio and thesis monitoring.

The Service is provided as a paid digital subscription with multiple plans (Free, Investor, and Investor Pro). It is informational and research software only.

You must be at least 18 years of age and capable of forming a legally binding contract to use the Service. By using the Service you represent and warrant that you meet these requirements and that all information you provide is accurate and current.

Account creation and authentication are handled through our identity provider, Clerk. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use. You may not share, sell, or transfer your account.

Paid plans are billed on a recurring basis (monthly or annual, as selected at checkout). Payments in India are processed by Razorpay; payments in other markets may be processed by Stripe. Prices are shown at checkout and are inclusive or exclusive of applicable taxes as indicated there.

Subscriptions renew automatically at the end of each billing period at the then-current price until cancelled. You may cancel at any time from your account settings or by contacting us; access continues until the end of the current paid period. Refunds, where applicable, are governed by our Cancellation & Refund Policy.

You agree not to:

• scrape, crawl, resell, redistribute, or commercially exploit the Service or its content without our written permission;
• reverse engineer, decompile, or attempt to derive the source code or underlying models of the Service;
• circumvent usage limits, access controls, or authentication mechanisms;
• use the Service to violate any applicable law or regulation, or to infringe the rights of others; or
• interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure.

The Service, including its software, design, analysis, generated summaries, and other materials (excluding third-party source data and your own inputs), is owned by CapitSignal or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own internal, non-commercial purposes. Your portfolio, watchlist, and thesis inputs remain yours.

The Service relies on public corporate disclosures and data from third-party sources, including stock exchanges (such as NSE and BSE) and regulators (such as SEBI). This information is provided for informational purposes only. We do not control these sources, and such data may be delayed, incomplete, revised, or contain errors. Third-party content remains the property of its respective owners.

The Service does not provide personalised investment advice and does not issue any buy, sell, hold, or target-price recommendations. Nothing on the Service should be construed as a solicitation, offer, or recommendation to transact in any security. You are solely responsible for your own investment decisions and should consult a suitably-qualified, independent professional adviser where appropriate.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that information is accurate, complete, current, or uninterrupted, that the Service will be error-free, or that any particular outcome or return will be achieved. Information may be delayed relative to its original source.

To the maximum extent permitted by law, CapitSignal and its officers, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, trading losses, investment losses, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service. To the extent liability cannot be excluded, our aggregate liability shall not exceed the amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless CapitSignal and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

These Terms are governed by the laws of India. Subject to any non-waivable statutory rights, the courts at [PLACEHOLDER: city], India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.
