approval of the Members be and is hereby accorded to the Company for entering into Material Related Party Transactions/contracts/arrangements/ agreements, on an arm’s length basis and in the ordinary course of business of the Company, with American Honda Motor Co. Inc. (AH), w.r.t export sale of finished goods and spares and reimbursement received and paid including warranty expenses, for an amount not exceeding Rs. 15,200 Lakhs (Rupees Fifteen Thousand and Two Hundred Lakhs only) for the financial year 2026-27 on such terms as may be mutually agreed between the AH and the Company.

Inc.,(AH), w.r.t sale of finished goods and related activities, for an amount not exceeding Rs. 12,400 Lakhs (Rupees Twelve Thousand and Four Hundred Lakhs only) for the financial year 2027-28 ,on such terms as may be mutually agreed between the AH and the Company.
